These terms are supplementary to the Terms of Service for All Users. By utilizing our services, you, the content creator (“Creator”), agree to the following terms of service (“Terms”). These Terms outline the agreement between you and Lyria Inc. (“Company”) regarding the creation, maintenance, and use of an AI virtual persona designed to interact with your fans.

‍Service Description: The Company commits to creating and maintaining an AI virtual persona that emulates your personality, style, and brand. This persona will engage with your fans using texts, voice notes, image and video.

Content Ownership and Responsibility: You retain full ownership of all original content you provide for the creation and training of your AI virtual persona. The Company respects your intellectual property rights and will only use your content within the scope of these Terms.

‍Use of Creator's Content: You grant the Company permission to utilize your voice, images and/or videos to create and demonstrate your AI virtual persona. This includes the rights to record, reproduce, and modify your likeness as necessary for the development and promotion of the AI virtual persona. Additionally, you consent to the Company’s use of any images, videos, or voice recordings that are publicly available of you online for these purposes. The Company may use the AI persona, along with your voice, images, and content for promotional activities.

‍Revenue Sharing: You are entitled to 50% of the net revenue generated from the AI virtual persona. Net revenue is defined as revenue remaining after deducting payment processing fees for each purchase. Revenue calculations occur monthly, with payments issued to you within 30 days of each month’s end.

Intellectual Property: The Company retains all rights to the AI virtual persona technology, including but not limited to algorithms, software, and any subsequent enhancements. You are granted a non-exclusive, revocable license to use the AI virtual persona created for you, under these Terms.

‍Termination: Either party may terminate this Agreement with one day's written notice. Upon termination, the Company will discontinue your AI virtual persona and cease using your content. Any due revenue will be paid within 30 days of termination.

‍Limitation of Liability: The Company is not liable for indirect, incidental, special, consequential, or punitive damages related to your use of our services. Our total liability for claims related to this Agreement does not exceed the amount of revenue shared with you in the 12 months before the claim.

Governing Law and Dispute Resolution: These Terms are governed by the laws of the State of Delaware. Any disputes will be resolved through arbitration following the American Arbitration Association's rules.
